Letters to Stockholders

You are cordially invited to attend the Annual Meeting of Stockholders of Wizzard Software Corporation, a Colorado corporation, which will be held on Wednesday, June 15, 2011, starting at 2:00 p.m., Eastern Daylight Time, at the Marriott Courtyard, 5308 Liberty Ave Pittsburgh, PA 15224. In addition to the matters to be acted upon at the meeting, which are described in the attached Notice of Annual Meeting of Stockholders and Proxy Statement, there will be a report with respect to the current status of our operations and an opportunity for you to ask questions.

Whether or not you plan to attend the meeting, the prompt execution of your proxy card will both assure that your shares are represented at the meeting and minimize the cost of proxy solicitation.

The Proxy Statement contains a more extensive discussion of each proposal and therefore you should read the Proxy Statement carefully.  The Board of Directors unanimously recommends that you approve all proposals.

Only stockholders of record at the close of business on April 7, 2011 are entitled to vote at the meeting. You are cordially invited to attend the meeting in person.

The Board encourages stockholders to attend the meeting in person. Whether or not you plan to attend the meeting, you are urged to execute your proxy card.
